DescriptionJob Summary
The Legal and Compliance Manager is primarily responsible for
diverse compliance-related functions within the Legal Department.
Provides the organization with objective assessments of compliance
and regulatory risks through the evaluation of compliance-sensitive
transactions, including verification of compliance with the
Company's Code of Business Conduct and Ethics and Anti-Corruption
policies (collectively referred to herein as "Code") and governing
transactional activity. Also assists in other key legal functions,
such as maintaining international business registrations and
applicable corporate books, reviewing and monitoring compliance of
the Company's confidentiality requirements, responding to document
production requests, and other various legal administrative support
work as needed.
Essential Functions
- Actively support the Company's commitment to safety and its
"Core Values."
- Represent the Company with high moral standards while adhering
to the Company's "Code of Business Conduct and Ethics."
- Plan and execute Code compliance-related reviews, audits and
projects as assigned, and report findings and recommendations to
Corporate Compliance Officer.
- Conduct assigned testing on transactional activity governing
the overall effectiveness of Code policies and related standard
operating procedures.
- Maintain comprehensive records of internal control and audit
activities in accordance with industry standards and departmental
guidelines.
- Follow up to ensure appropriate actions have been taken in
accordance with audit or compliance recommendations and management
directives.
- Review the retention of agents, business partners,
distributors, and sales representatives in foreign
jurisdictions.
- Continuously monitor agents and other third parties to prevent
and detect anti-corruption and FCPA violations by such third
parties.
- Train and educate employees and business associates of current
anti-corruption program and polices.
- Assist Corporate Compliance Officer in conducting
investigations and in the managerial review of compliance-related
audit work conducted by other auditors.
- Travel domestically and internationally as required for
conducting compliance audits, and report findings and formulating
recommendations for improvement in operating controls.
- Assist in addressing export and import questions, including
completing required documentation.
- Manage international business registrations and maintain
corporate record books for international subsidiary
companies.
- Respond to records requests.
- Assist with litigation matters, including document production,
as needed.
- Assist with the review and negotiation of non-disclosure
agreements and other types of agreements with customers and
suppliers.
- Ensure complete and consistent filing of executed customer
contracts and maintain log of master service agreements.
- Perform other duties as required or assigned.
Qualifications
- Associate's degree and/or General Business certification or
certificate of completion of an ABA-approved paralegal course of
study preferred, or equivalent combination of education and work
experience in lieu of degree or certification.
- 5+ years' experience as Compliance Manager, or Paralegal or
similar position, with previous international regulatory
experience.
- Ability to understand, interpret and apply laws and rules
applicable the various responsibilities of the position.
- Proficiency in using Microsoft Word, Excel, Outlook, and
familiarity with databases.
- Experience with using electronic discovery platforms
preferred.
- Ability to prioritize work and manage multiple projects and
deadlines.
- Ability to work well under pressure and keep a positive
attitude.
- Knowledge of filing and documentation control.
- Ability to maintain confidentiality, communicate well with
employees, outside contacts and managers, is paramount.
- Professional demeanor, attitude, and appearance.
- Excellent organizational and time management skills; ability to
work well with multiple tight deadlines.
Physical/Special Requirements
This position may require occasional travel and overtime.
